Item 2.02.

Results of Operations and Financial Condition

On February 22, 2017, Entercom Communications Corp. (the “ Company ”) issued a press release (the “ Press Release ”) announcing fourth quarter 2016 results. Specifically, for the fourth quarter of 2016 the Company announced:

 

•

net revenues of $123.2 million;

 

•

station operating expenses of $81.5 million;

 

•

corporate general and administrative expenses of $8.4 million;

 

•

operating income of $30.0 million; and

 

•

net income available to common shareholders of $10.8 million.

 

•

net income available to common shareholders per share – basic of $0.28 and diluted of $0.27.

In addition, the Company announced that for the year ended December 31, 2016:

 

•

net revenues of $460.2 million;

 

•

station operating expenses of $318.7 million;

 

•

corporate general and administrative expenses of $33.3 million;

 

•

operating income of $98.1 million; and

 

•

net income available to common shareholders of $36.2 million.

 

•

net income available to common shareholders per share – basic of $0.94 and diluted of $0.91.
