EXPLANATORY NOTE

DEREGISTRATION OF UNSOLD SECURITIES

 

Drive Shack Inc., a Maryland corporation (“DS” or the “Company”), is filing this Post-Effective Amendment No. 1 (the “Amendment”) to the Registration Statement on Form S-3 (No. 333-251671) (the “Registration Statement”), previously filed with the Securities and Exchange Commission (the “SEC”) to terminate all offerings and deregister:

any and all securities, registered but unsold or otherwise unissued as of the date hereof under the Registration Statement, filed with the SEC on December 23, 2020 and declared effective on January 6, 2021, registering an indeterminate amount and number of common stock, par value $0.01 per share, preferred stock, par value $0.01 per share, depositary shares, debt securities, warrants, subscription rights, purchase contracts and purchase units, or any combination of the foregoing (collectively, the “securities”), for issuance and sale by the Company of up to an aggregate proposed offering price of $500,000,000.

 

On January 3, 2023, the Company’s securities were voluntarily delisted from the New York Stock Exchange (“NYSE”). Following the delisting from NYSE, the Company intends to deregister and terminate its reporting obligations under the Securities and Exchange Act of 1934, as amended (the “Exchange Act”). In connection with the delisting, the Company has terminated all offerings of securities pursuant to the Registration Statement. In accordance with the undertaking made by the Company in Part II of the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities that had been registered which remain unsold at the termination of the offering, the Company hereby removes from registration any and all securities registered but unsold or otherwise unissued under the Registration Statement as of the date hereof. After giving effect to this Amendment, there will be no remaining securities registered by the Company pursuant to the Registration Statement.
