( 1)	Pursuant to the Agreement and Plan of Merger, dated as of April 19, 2011, by and among DPL Inc., The AES Corporation and Dolphin Sub, Inc., each of these shares was cancelled at the effective time of the merger and converted into the right to receive $30.00 in cash, without interest.
