("CONSOL"), the parent company of CNX Gas Corporation (the "Issuer"), pursuant to CONSOL's offer to purchase all of the outstanding shares of the Issuer at a cash purchase price of $38.25 per share, pursuant to the terms and conditions set forth in the Offer to Purchase, dated April 28, 2010 (as amended and supplemented, the "Offer to Purchase") and in the related letter of transmittal (which, together with any amendments or supplements thereto, collectively constitute the "Tender Offer").
