EXPLANATORY NOTE

 

Churchill Capital Corp VII (the “Registrant”) is filing this Registration Statement on Form 8-A in connection with the transfer of the listing of its (i) Class A common stock, par value $0.0001 per share (the “Common Stock”), (ii) warrants, each exercisable for one share of Common Stock at an exercise price of $11.50 per share (the “Warrants”) and (iii) units, each consisting of one share of Common Stock and one-fifth of one redeemable warrant (the “Units” and, collectively with the Common Stock and the Warrants, the “Securities”) from the New York Stock Exchange (the “NYSE”) to the Nasdaq Stock Market LLC (“Nasdaq”). The Registrant expects the listing and trading of its Securities on the NYSE to cease at the close of trading on February 2, 2024, and that trading will begin on Nasdaq at market open on February 5, 2024.
