Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

     On June 24, 2010, the Board of Directors of Care Investment Trust Inc. (“Care”) approved an amendment to Section 2 of Article II of Care’s amended and restated bylaws. The amendment, which was effective immediately upon approval, permits the Board to designate the date and time of Care’s annual meeting, eliminating the requirement that the annual meeting be held in June.

     The amended and restated Bylaws of Care reflecting this amendment are filed as Exhibit 3.2 to this report.
