EXPLANATORY NOTE

Campbell Soup Company (the “Registrant”) is filing this Registration Statement on Form 8-A in connection with the transfer of the listing of its capital stock, par value $0.0375 per share (the “Capital Stock”) from the New York Stock Exchange (the “NYSE”) to The Nasdaq Stock Market LLC (“Nasdaq”). The Registrant expects that the listing and trading of its Capital Stock on the NYSE will end at market close on August 16, 2024, and that trading will begin on Nasdaq at market open on August 19, 2024.

The description of the Registrant’s Capital Stock included in Exhibit 4(n) to the Registrant’s Annual Report on Form 10-K for the fiscal year ended July 30, 2023 (File No. 1-3822), filed with the Securities and Exchange Commission on September 21, 2023, is incorporated herein by reference, except that any reference to the NYSE is hereby amended to refer to Nasdaq.
