Collins & Aikman Announces the Completion of its Offering of
Senior Subordinated Notes Due 2012
TROY, Mich., Aug. 26 /PRNewswire-FirstCall/ -- Collins & Aikman Corporation
(NYSE:CKC), today announced that its wholly owned subsidiary, Collins & Aikman
Products Co. ("Products"), completed an offering of $415 million in aggregate
principal amount of its senior subordinated notes due 2012 for gross proceeds
of approximately $400 million. The notes bear interest at a rate of 12-7/8%.
The notes are guaranteed by Collins & Aikman Corporation and each of Products'
domestic subsidiaries that is a guarantor under its senior credit facility. As
previously announced, the gross proceeds from the notes offering will be used
to redeem all $400 million in principal amount of Products' 11-1/2% senior
subordinated notes due 2006.
The notes were offered in a private offering to qualified institutional buyers
under Rule 144A and to persons outside the United States under Regulation S.
The notes will not be registered under the Securities Act of 1933, as amended,
and unless so registered, may not be offered or sold in the United States
except pursuant to an exemption from, or in a transaction not subject to, the
registration requirements of the Securities Act and applicable state securities
