Explanation of Responses:

The Restricted Stock Units (RSUs), the conversion of which is reported herein, were granted to the Reporting Person by the issuer as part of equity incentive grants made by the issuer on 2/26/2008. On that date, the fair market value (FMV) of the issuer's stock was $48.66. The RSUs vest and are received by the Reporting Person in three equal portions on 3/26/2009, 2/26/2010, 02/26/2011 unless the Reporting Person has previously elected a longer deferral period. This report reflects the vesting of the first one-third of this RSU award and acqusition of the underlying shares. The fair market value of the issuer's common stock on 03/25/2009 (the last business day prior to vesting) is $23.55.
