Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain              Officers; Compensatory Arrangements of Certain Officers.

(d) As previously reported in a Current Report on Form 8-K filed on January 15, 2020, the Board of Directors (the “Board”) of CIRCOR International, Inc. elected Jill D. Smith to the Board as a Class II director, effective as of January 15, 2020. At that time, Ms. Smith had not been appointed to any Board committees. This Amendment No. 1 to Form 8-K is being filed to disclose that on February 13, 2020, the Board appointed Ms. Smith to the Board’s Nominating and Corporate Governance Committee.
