Explanation of Responses:

This amendment is being filed to correct the number of shares disposed to satisfy tax withholding obligations in connection with the vesting of restricted stock as originally reported on the Form 4 filed on 2/25/2014. The original Form 4 reflected 36,733 shares disposed. However, the correct number of shares disposed was 47,831. The amounts in Column 5 on Table I are also corrected on this amended Form 4 to accurately reflect the amount of securities beneficially owned after correcting the withholding transaction on February 23, 2014.
