Explanation of Responses:
(1)	Represents a grant of restricted stock units from the Issuer for services as an executive officer of the Issuer. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock units vest in equal annual installments on April 1 of each of 2020, 2021 and 2022.
(2)	Represents a one-time grant of restricted stock units from the Issuer. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock units vest in equal annual installments on April 1 of each of 2020, 2021, 2022 and 2023.
(3)	Represents a grant of performance share units from the Issuer for services as an executive officer of the Issuer. Each performance share unit represents a contingent right to receive one share of the Issuer's common stock. The performance share units vest on April 1, 2022 (the "Performance Period End Date") based on the volume-weighted average price of a share of the Issuer's common stock achieving a pre-established amount for 20 consecutive trading days immediately preceding any date on or prior to the Performance Period End Date.
