Item 5.07 - Submission of Matters to a Vote of Security Holders.

On May 22, 2023, Altus Power, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”) in Stamford, CT. At the Annual Meeting, 143,592,870 shares of the Company’s Class A common stock were represented in person or by proxy. This represented approximately 90% of the 158,987,942 shares of Class A common stock outstanding as of the close of business on March 28, 2023, the record date for the Annual Meeting. At the Annual Meeting, the stockholders of the Company voted on the following two proposals, each of which is described in detail in the Proxy Statement filed with the Securities and Exchange Commission on April 12, 2023.

1.Election of Directors: The Company’s stockholders elected the following directors to each serve until the 2026 Annual Meeting or until a successor is duly elected and qualified. The voting results were as follows:
