NYSE Euronext presents Bonduelle with the award for the best secondary transaction of 2012

On 5 December, the Bonduelle Group was awarded the prize for the leading secondary transaction in 2012, at the Stock Market Annual Conference organised by NYSE Euronext.

The award, for their private bond investment (EuroPP) made in September 2012, was presented by Philippe D'Hoir, a partner at Fidal and member of the jury, to Grégory Sanson, Chief Financial Officer of the Bonduelle Group, world leader in the ready-to-eat vegetable sector.

The transaction, with an initial value of 100 million euros which increased to 145 million euros due to investor interest, a maturity of 6.5 years and offering a competitive coupon rate of 3.83%, was underwritten by several European insurance and health insurance companies, in order to refinance acquisitions made at the start of 2012 in Russia, the USA and Hungary by the Bonduelle Group.

This particularly innovative transaction is the first private bond investment to be made by made by a mid-sized business non rated, and works towards the implementation of financial instruments other than bank financing for this category of business.

It allowed the Bonduelle Group to extend its platform of investors, increase the disintermediation of its financing to more than 60% and extend its debt maturity to 5.6 years.

The Bonduelle Group consulted Crédit Agricole CIB, Crédit Agricole Nord de France and Wilkie Farr & Gallagher law firm during this transaction.
