Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Bruno Vinciguerra, who currently serves as Sotheby's Chief Operating Officer, will terminate employment with Sotheby's, effective August 31, 2015. In connection with his termination, Mr. Vinciguerra will receive payments consistent with his previously disclosed letter agreement dated January 1, 2015 as a termination for Good Reason. Mr. Vinciguerra's responsibilities will be assumed by Tad Smith, Sotheby's Chief Executive Officer.
