FORT LAUDERDALE, Fla., Feb. 18  /PRNewswire-FirstCall/ -- BFC Financial
Corporation (NASDAQ:BFCF) announced today that it has filed a registration
statement with the Securities and Exchange Commission relating to the offering
of 3,600,000 shares of its Class A Common Stock, with an over allotment option
of 540,000 shares.  Ryan Beck & Co. has been selected as lead manager, and BB&T
Capital Markets and Stifel, Nicolaus & Company, Incorporated have been selected
as co-managers of the offering.

A registration statement relating to these securities has been filed with the
Securities and Exchange Commission but has not yet become effective. These
