In accordance with Chapter 16.13 of the Listing Rules, notification is hereby given that:-

On the 6th August 2003, the Trustee of the AMVESCAP Employee Stock
Ownership Plan ("ESOP") transferred 38,806 shares to beneficiaries of
the AMVESCAP Employee Stock Ownership Plan. The transfers were not
made to any director of AMVESCAP. The Company was notified of these
transactions on 8th August 2003.

Executive Directors of AMVESCAP PLC who are participants in the
Employee Stock Ownership Plan are deemed to be discretionary
beneficiaries of the Trust and are consequently considered to be
interested in all of the shares held by the Trustees.
