Item 8.01 Other Events.

On July 9, 2018, Anadarko Petroleum Corporation (the “Company”) issued a press release announcing that its Board of Directors authorized an expansion of the Company’s program to repurchase its outstanding common stock to $4.0 billion, representing a $1.0 billion increase. The authorization extends through June 30, 2019. A copy of the press release is filed as Exhibit 99.1.
