Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 30, 2016, Mr. Paul M. Bisaro and Allergan plc (the “Company”) mutually agreed that Mr. Bisaro would resign from his position as an executive officer of the Company effective on December 31, 2016. As previously announced, Mr. Bisaro resigned as Executive Chairman of the Board of Directors of the Company on October 26, 2016. He will remain in his position as a director of the Company.
