Item 7.01

Regulation FD Disclosure.

 

As previously reported in the Annual Report on Form 10-K for the year ended December 31, 2019, Arbor Realty Trust, Inc., a Maryland corporation (the “Company”) will not allocate any excess inclusion income to our shareholders for the year ended December 31, 2019. As a result, no portion of the Company’s 2019 dividends should be treated as excess inclusion income for federal income tax purposes. In addition, in order to protect or block our shareholders from any excess inclusion income produced in the future, we have formed a taxable REIT subsidiary, or “TRS,” to which any future excess inclusion income will be allocated. As a result of the formation of this blocking TRS, we will not generate excess inclusion income for our shareholders.
