Explanation of Responses:
( 1)	Represents the number of shares withheld by and surrendered to the Issuer on October 13, 2016, to satisfy tax withholding obligations that arose in connection with the vesting of the Restricted Stock Units ("RSUs") granted on August 23, 2012 for 429,333 shares. The RSUs vested with respect to 25% of the underlying shares on October 13, 2013 and the remaining shares shall vest monthly thereafter in 36 equal installments.
( 2)	The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person.
