Explanation of Responses:
(1)	On February 13, 2020, 14,478 restricted shares of Mr. Hawkins' Company stock, granted February 13, 2018, vested. On February 13, 2020, Mr. Hawkins automatically surrendered 6,899 of the 14,478 newly-vested shares to the Company to satisfy the tax withholding obligation triggered upon the February 13th vesting. The automatic surrender of newly-vested shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of restricted stock.
(2)	On February 14, 2020, 18,915 restricted shares of Mr. Hawkins' Company stock, vested. On February 14, 2020, Mr. Hawkins automatically surrendered 8,673 of the 18,915 newly-vested shares to the Company to satisfy the tax withholding obligation triggered upon the February 14th vesting. The automatic surrender of newly-vested shares is the Company's default process for paying tax withholding obligations triggered upon the vesting of restricted stock.
