Item 1.01.

Entry into a Material Definitive Agreement .

 

On May 8, 2009, H&H and its subsidiaries amended their Loan and Security Agreement with Wachovia Bank, National Association, as agent (the “Wachovia Facilities”), to provide for, among other things, additional term loans to the borrowers thereunder in the aggregate principal amount of approximately $5.3 million, which were consolidated with the existing term loans under the Wachovia Facilities for a combined aggregate principal amount of $15.0 million, and additional guaranties by certain subsidiary trusts.  Pursuant to this amendment: (a) a portion of the obligations under the tranche B term loan under the Wachovia Facilities was prepaid in an amount equal to $5.0 million; and (b) the remaining available proceeds of the term loans are to be used for operating and working capital purposes.
