Item 2.02 Results of Operations and Financial Condition.

     The Company reported its earnings and financial results for the first quarter ended March 31, 2008, on April 30, 2008. The Company advised that the Company will add $7.7 million pretax to its reserve for loan losses and report a net loss of $5.8 million in the first quarter of 2008.

     A copy of the press release is attached as Exhibit 99.1 and incorporated by reference. This release is also being furnished for purposes of Regulation FD and Regulation G of the Securities and Exchange Commission.

Item 2.06 Material Impairments.

     On April 30, 2008, the Company announced that it will add $7.7 million pretax to its reserve for loan losses in the first quarter of 2008, and record $912,000 of net loan charge-offs.
