(b)     On June 5, 2008, WorldSpace, Inc. (the “Company”) received a letter from Charles McC. Mathias whereby Mr. Mathias resigned from the Board of Directors of the Company effective immediately. To the knowledge of the executive officers of the Company, Mr. Mathias’ resignation did not result from any disagreements between the Company’s management and Mr. Mathias regarding the Company’s operations, policies or practices.
