Capstone Provides Regulatory Advice to WMIH on Nationstar Acquisition

WASHINGTON, Feb. 14, 2018 /PRNewswire/ -- Capstone LLC, a leading provider of policy analysis for institutional investors and companies in the US and Europe, provided regulatory due diligence advice to mortgage company WMIH Corp. (Nasdaq: WMIH) on its acquisition of Nationstar Mortgage Holdings (NYSE: NSM), a provider of mortgage servicing, origination and technology solutions across the U.S. 

On February 13^th, WMIH and Nationstar announced they had entered into a definitive merger agreement.  Upon completion, Nationstar shareholders will receive $1.2 billion in cash and WMIH shares valued at an estimated $702 million.  In addition, approximately $1.9 billion of Nationstar's existing senior unsecured notes will be refinanced at closing, for total deal consideration of $3.8 billion.  Private equity firm KKR & Co. (NYSE: KKR), which owns 24% of WMIH's voting shares, has agreed to support the Nationstar transaction.  In its work for WMIH, Capstone conducted regulatory due diligence on mortgage policy at the federal and state levels.
