Explanation of Responses:
( 1)	This is the 4th tranche of an option award that is divided into four grants, each comprised of 25% of the total number of shares awarded. The first tranche was granted 12/12/2007 and becomes vested in 16 equal quarterly installments beginning 3/13/2008. The 2nd tranche was granted 3/6/2008 and becomes vested in 15 equal quarterly installments beginning 6/13/2008. The 3rd tranche was granted on 6/9/2008 and becomes vested in 14 equal quarterly installments beginning 9/13/2008. This 4th tranche becomes vested in 13 equal quarterly installments beginning 12/13/2008. Each tranche shall first become exericsable on that date that is 4 years and one day following the date on which such tranche was granted.
( 2)	The option becomes vested in 13 equal quarterly installments, with the first installment on 12/13/2008, and it becomes exercisable on 9/9/2012.
