Explanation of Responses:
( 1)	This is the 2nd tranche of an option award that is divided into three grants, each comprised of 1/3 of the total number of shares subject to the award. The first tranche was granted on 12-1-09 and vests in 16 equal installments with the first installment on 3-13-10; this 2nd tranche vests in 15 equal installments with the first installment on 6-13-10; and the 3rd tranche will be granted as of the 3rd business day following Verigy's announcement of its financial results for the quarter ending 4-30-10, and will vest in 14 equal quarterly installments with the first installment 9-13-10.
( 2)	The option becomes exercisable in 15 equal quarterly installments, with the first installment on June 13, 2010.
