Wolf Haldenstein Adler Freeman & Herz LLP is investigating the proposed acquisition of Volcano Corporation (Nasdaq:VOLC) by Royal Philips N.V, the Dutch-based consumer and technology multi-national corporation.

Under the terms of the transaction, Volcano shareholders will receive only $18.00 in cash for each share of Volcano stock they own. The investigation concerns whether the Board of Directors of Volcano Corporation breached their fiduciary duty to stockholders by failing to adequately shop the Company before agreeing to enter into this transaction, attaching conditions to the merger than make it more difficult for competing offers to emerge, and whether Royal Philips is underpaying for Volcano shares.
