Explanatory Note:

     Pursuant to a Registration Statement on Form S-8 (File No. 333-127131) (the “Registration Statement”), Unica Corporation (the “Company”) registered shares of its common stock, $.01 par value per share (the “Common Stock”), under the Securities Act of 1933, as amended, for offer and issuance pursuant to the Company’s Amended and Restated 1993 Stock Option Plan, 2003 Stock Option Plan and 2005 Stock Incentive Plan (the “Plans”). On October 5, 2010, the Company merged with a wholly owned subsidiary of International Business Machines Corporation. Therefore, pursuant to the Company’s undertaking contained in the Registration Statement, this Post-Effective Amendment No. 1 to the Registration Statement is being filed for the purpose of deregistering all shares of Common Stock that remain unsold under the Registration Statement.
