Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 25, 2012, Mr. Tom C. Tinsley resigned from his position as a member of the Company’s board of directors and as a member of all committees of the board, effective June 30, 2012. A copy of Mr. Tinsley’s resignation letter is included herewith as Exhibit 99.1.

Mr. Tinsley’s resignation did not result from any disagreement with the Company relating to its operations, policies or practices.
