(b) On April 16, 2009, Byron F. Marchant resigned from the Board of Directors (the "Board") of TeleCommunication Systems, Inc. (the "Company"), effective immediately, concluding the discussions that he began with the Company in the first quarter of 2009. Mr. Marchant undertook to resign his position on the Company's Board in connection with his recent new employment, and his resignation was not as a result of any disagreement with the Company. His current term on the Company's Board was scheduled to expire at the June 2009 Annual Meeting of Shareholders. The Company's Board and management appreciate Mr. Marchant's decade of service to the Company and wish him much success in his new position.
