Explanation of Responses:
(1)	Pursuant to the business combination of TS Innovation Acquisitions Corp. and Latch, Inc. ("Legacy Latch"), each share of Legacy Latch outstanding common and preferred stock and each outstanding convertible note was automatically converted into the right to receive shares of the Issuer's Common Stock based on a 1-to-0.8971 conversion ratio.
(2)	Avenir Management Company, LLC is the manager of each of Avenir Latch Investors, LLC, Avenir Latch Investors II, LLC and Avenir Latch Investors III, LLC. Avenir Management Company, LLC is controlled by an investment committee comprised of Andrew Sugrue and James M. Reynolds, IV. As a result, each of Avenir Management Company, LLC and Messrs. Sugrue and Reynolds may be deemed to share beneficial ownership over the securities reported herein. Each of Messrs. Sugrue and Reynolds disclaims any such beneficial ownership except to the extent of their pecuniary interests therein. Mr. Sugrue is filing a separate Form 4 to report the securities reported herein.
