Explanation of Responses:
(1)	This award will vest on May 21, 2021 if the reporting person provides service through such date or, if earlier, the date immediately preceding the Issuer's next annual meeting of stockholders, subject to acceleration upon certain events.
(2)	Stock units convert into common stock on a one-for-one basis.
