State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Tribune Publishing Company (the “Company”) was not able to file its Annual Report on Form 10-K for the fiscal year ended December 30, 2018 (the “Form 10-K”) within the prescribed time period without unreasonable effort or expense. However, the Company intends to file the Form 10-K concurrently with filing this Form 12b-25. The Company experienced transmission difficulties in submitting the Form 10-K to EDGAR that caused the filing not to be made prior to 5:30 p.m. Eastern Time on March 15, 2019.

On March 13, 2019, the Company issued a press release reporting preliminary financial results for its year and fourth quarter ended December 30, 2018, a copy of which was furnished as Exhibit 99.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on March 13, 2019. In that press release, for fiscal year 2018, the Company reported net income of $248.8 million or $7.05 per share, compared to net income of $5.5 million, or approximately $0.16 per share, for fiscal 2017.
