Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers .

On September 4, 2012, Christine Hergenrother notified Tegal Corporation (the “Company”) that she will resign from her position as Chief Financial Officer, Vice President, Secretary and Treasurer of the Company effective September 25, 2012.  Following her resignation, Ms. Hergenrother will pursue new opportunities outside of the Company.
