(1)	Represents compensation for board fees in lieu of cash for part of the Issuer's fourth quarter 2018 (the "Board Fees").
(2)	The Board Fees represents compensation for the Reporting Person's service as a director of the Issuer.
(3)	Represents a one-time fully vested award of restricted stock granted pursuant to the Pareteum Corporation 2019 Long-Term Incentive Compensation Plan (the "January Award"), . The January Award replaces in its entirety that certain option to purchase 100,000 shares of the Issuer's common stock (the "Original Option"), which Original Option was canceled simultaneously with the January Award
