TB Wood's Corporation Declares Quarterly Dividend 


CHAMBERSBURG, Pa., April 15  /PRNewswire-FirstCall/ -- On April 14, 2004 the
Board of Directors of TB Wood's Corporation  declared a dividend of $.09 per
share on its Common Stock, par value $.01 per share.  The dividend is payable
on April 30, 2004 to shareholders of record April 25, 2004.  This is our
thirty-third consecutive dividend since our initial public offering in February
1996.

TB Wood's is an established designer, manufacturer, and marketer of electronic
and mechanical industrial power transmission products which are sold to North
American and international manufacturers and users of industrial equipment. 
Headquartered in Chambersburg, Pennsylvania, the Company operates production
