Tarragon Corporation Receives Nasdaq Notice of Compliance

NEW YORK CITY, NY today announced that it has received written notice from The Nasdaq Stock Market that it has demonstrated compliance with all Nasdaq requirements, and that the Nasdaq Hearings Panel has determined to continue the listing of Tarragon's common stock on The Nasdaq Stock Market. As required by the Panel, the Company held its annual shareholders' meeting on May 1, 2008. At that meeting, among other things, shareholders re-elected each of the seven nominees for election to the Tarragon Board of Directors and a proposal to adopt the Tarragon Corporation 2008 Omnibus Plan was approved.

Tarragon's CEO, William S. Friedman, noted, "Maintaining our Nasdaq listing has been a very high priority for us and for our shareholders. We are very pleased that we are now in compliance with all applicable listing requirements and continue to provide our shareholders with the benefits of Nasdaq as a market for our shares."
