Explanation of Responses:

( 1)

As a result of the completion of the tender offer by Diamond Acquisition Corp., a Delaware corporation and a wholly-owned subsidiary of Nabors Industries Ltd., a Bermuda exempt company, disclosed in the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on August 12, 2010, as amended, the Reporting Person no longer holds beneficial ownership of any of the Issuer's common stock.

Remarks: The Reporting Person was a director and officer of the Issuer. Upon completion of the tender offer reported in Footnote 1, the Reporting Person resigned as a director of the Issuer, but continues to hold the office of Chief Executive Officer.
