Explanation of Responses:
(1)	In connection with the terms of his employment agreement with the Company dated as of October 5, 2021, the Reporting Person received a restricted stock grant of 104,529 shares, one third of which will vest on the one year anniversary of the grant, and the balance of which will vest in twenty-four equal monthly installments commencing on the one year anniversary of the grant.
