Explanation of Responses:

On February 5, 2016, the Company granted the Reporting Person an option to purchase 70,000 shares of common stock of the Company under the Company's 2010 Equity Incentive Plan, as amended. The option vests with respect to 25% of the shares on the first anniversary of the grant date, and with respect to the remaining 75% of the shares in approximately equal monthly installments over the 36 months immediately thereafter, provided that the Reporting Person remains an employee of the Company through the relevant times.
