On December 27, 2018, Phunware Inc. (formerly known as Stellar Acquisition III Inc. (the “ Company ”) issued a press release (the “ Press   Release ”) announcing that on December 26, 2018, it consummated its previously disclosed business combination as well as a related financing. A copy of the Press Release issued by the Company is attached as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
