Shareholder Meeting Notice

Sun Bancorp, Inc.’s Annual Meeting of Shareholders will be held at The Sheraton Edison Hotel Raritan Center, 125 Raritan Center Parkway, Edison, New Jersey, on May 21, 2015, at 9:30 a.m.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR all the nominees listed and FOR Proposals 2 and 3.

1.	The election as directors of the following nominees:
	01 - Jeffrey S. Brown, 02 - Sidney R. Brown, 03 - Anthony R. Coscia, 04 - F. Clay Creasey, Jr., 05 - Peter Galetto, Jr.,
	06 - Eli Kramer, 07 - William J. Marino, 08 - Philip A. Norcross, 09 - Thomas M. O’Brien, 10 - Wilbur L. Ross, Jr. and
	11 - Keith Stock.
2.	The approval of the Sun Bancorp, Inc. 2015 Omnibus Stock Incentive Plan.
3.	The ratification of the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2015.
