| Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
On November 28, 2023, SmartFinancial, Inc. (the “Company”), acting pursuant to authorization from its Board of Directors, provided written notice to The Nasdaq Stock Market LLC (“Nasdaq”) of its determination to voluntarily withdraw the principal listing of the Company’s voting common stock, $1.00 par value per share (the “Common Stock”), from Nasdaq and transfer the listing to the New York Stock Exchange (“NYSE”). The Company expects that listing and trading of its Common Stock on Nasdaq will end at market close on December 08, 2023, and that trading will commence on the NYSE at market open on December 11, 2023.
The Common Stock has been authorized for listing on NYSE, where it will trade under the stock symbol “SMBK.”

SMARTFINANCIAL ANNOUNCES TRANSFER OF LISTING OF COMMON STOCK TO THE NEW YORK STOCK EXCHANGE
KNOXVILLE, Tenn., November 28, 2023 – SmartFinancial, Inc. (“SmartFinancial”) (Nasdaq: SMBK), the parent company for SmartBank, announced today that it is transferring the listing of its common stock to the New York Stock Exchange (“NYSE”) from The Nasdaq Stock Market LLC (“Nasdaq”). SmartFinancial’s common stock is expected to begin trading on the NYSE on Monday, December 11, 2023, under the ticker symbol of “SMBK”. SmartFinancial expects its common stock to continue to trade on Nasdaq until the close of the market on December 08, 2023.
