Explanation of Responses:
( 1)	These stock and option awards are subject to vesting requirements. The option is immediately exercisable, but subject to repurchase if vesting requirement is not met.
( 2)	SCSF Equities, LLC, a Delaware limited liability company ("SCSF Equities"), is the direct beneficial owner of 2,959,000 shares of common stock reported in Table I. Mr. Leder owns 50% of the membership interests in Sun Capital Securities, LLC, a Delaware limited liability company, which in turn is the general partner of Sun Capital Securities Advisors, LP, a Delaware limited partnership, which in turn is the general partner of Sun Capital Securities Fund, LP, a Delaware limited partnership, which in turn is the managing member of SCSF Equities. Mr. Leder is one of two directors of Sun Capital Securities Offshore Fund, Ltd., a Cayman Islands corporation, which in turn owns a majority of the membership interests of SCSF Equities. Accordingly, Mr. Leder may be deemed to be the indirect beneficial owner of the 2,959,000 shares of common stock directly beneficially owned by SCSF Equities
( 3)	Mr. Leder expressly disclaims beneficial ownership of the shares of common stock reported in Table I directly beneficially owned by SCSF Equities, except to the extent of any pecuniary interest therein. The filing of this form shall not be deemed an admission that Mr. Leder is, for Section 16 purposes or otherwise, the beneficial owner of such shares.
