Item 2.02    Results of Operations and Financial Condition

     On November 26, 2007, Shoe Pavilion, Inc. (the "Company") issued a press release announcing financial results for the third quarter ended September 29, 2007. A copy of the press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.
