ITEM 2.02    RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On June 28, 2017, A. Schulman, Inc. (the “Company”) announced earnings for the quarter ended May 31, 2017. A copy of the press release announcing these results is attached as Exhibit 99.1 hereto and incorporated by reference herein.
