Item 8.01               Other Events.

 

On May 24, 2016, Synergy Pharmaceuticals Inc. (the “Company”) issued a press release announcing new in vitro data at Digestive Disease Week (DDW) showing plecanatide, an investigational compound being evaluated for chronic idiopathic constipation (CIC) and irritable bowel syndrome with constipation (IBS-C), replicated the pH-dependent activity of the body’s naturally occurring gastrointestinal (GI) peptide — uroguanylin.  The press release is attached as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.
