Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers’ Compensatory Arrangements of Certain Officers

On May 9, 2008, Vivian Macdonald, Vice President, Corporate Controller of Restoration Hardware, Inc. (the “Company”), notified the Company that she intends to leave the Company shortly after the closing of the proposed merger between the Company and certain affiliates of Catterton Partners, a private equity firm. The closing is expected to occur during the second quarter of fiscal year 2008. Ms. Macdonald currently serves as the principal accounting officer of the Company.
